Terms and Conditions of Use

1. Purpose of the Terms of Use
The present General Terms of Use (hereinafter "Terms of Use") aim to define the terms and conditions under which the company 10-Chairs Innovations (hereinafter "the Company") provides access to the website 10-Chairs (hereinafter "the Site") and the associated services, and the conditions for access and use of the Site by any user (hereinafter "the User").
By browsing the Site or using the offered services (registration on the waiting list, sponsorship, intention deposit, etc.), the User unconditionally accepts these Terms of Use.
The Site is published by the company 10-Chairs Innovations, a Simplified Joint Stock Company with a capital of €40,000 registered in the Epinal Trade and Companies Register under number 931 685 317[1], whose head office is located at 6 C Rue du Grand Breuil, 88200 Remiremont, France[1]. The Company is chaired by Mr. Jordan Perrin[2].

The Site is hosted by the company Framer B.V., located at Singel 258, 1016 AB Amsterdam, Netherlands[3].
3. Services Offered on the Site
The Site aims to present the innovative "camera-robot" project developed by the Company and to gather a community ahead of commercialization. To this end, the Site notably allows: - To sign up for a viral waiting list to express interest in 10-Chairs products (Lite versions for smartphones and Pro for professional cameras). Registration requires a valid email address and allows participation in a sponsorship system (see Article 6). - To participate in a sponsorship contest related to the waiting list, offering benefits in the form of purchase credits and rewards for the best sponsors (see Contest Regulations). - To make an intention deposit of €20 to benefit from a discount on the future product when it is released (see Terms and Conditions of Sale). This deposit is not a firm purchase of the product but a manifestation of interest, refundable only under specific conditions (see Refund Policy). - To provide contact details and an investment intention privately, with a view to a future investment offer via a holding company (investment planned in BSA AIR). This information is collected via a dedicated form (e.g., Typeform) and used solely to reconnect at the appropriate time. - To stay informed about the 10-Chairs project, its news, and its products through content published on the Site (texts, images, explanatory videos, etc.).
The Site does not currently offer online sales of products (no e-commerce features other than the intention deposit mentioned above). There is no public forum or chat module on the Site. An email contact button (mailto) is provided for any questions or contact.
Access to the Site is free and open to any User with an internet connection. All costs relating to access to the Site (equipment, software, internet connection, etc.) are the responsibility of the User.
The Company strives to ensure the availability of the Site 24/7. However, it cannot be held responsible for temporary unavailability of the Site, whether due to maintenance, updates, or in case of force majeure or events beyond its control.
The Company reserves the right to temporarily interrupt or suspend access to the Site or certain features without notice, notably to carry out updates, maintenance, or any other reason deemed necessary for the proper functioning of the Site.
Registration on the waiting list does not create a standard user account with a password. Upon registration, the User provides their email address (and possibly other information such as name or first name if requested) and receives a unique sponsorship link. This link allows tracking the number of sponsored referrals and the position on the waiting list.
The User agrees to provide accurate and up-to-date information when registering. It is strictly forbidden to create multiple registrations for the same person or to use temporary/fake email addresses. In case of non-compliance with these rules, the Company reserves the right to remove the User from the waiting list and disqualify them from the sponsorship contest if applicable.
6. Sponsorship and Contest Rules
The Site offers a viral sponsorship system: each User registered on the waiting list obtains a personal sponsorship link that they can share with their surroundings (friends, family, social networks, etc.). When a person registers through this link and validates their registration, they become a referral of the User (the sponsor).
For each unique referral thus obtained and validated, the sponsor receives a credit of €10 usable as a voucher for future purchases of 10-Chairs products on the official site (see Terms of Sale for conditions of use of credits). Sponsorship credits are capped at a maximum of €1,000 per sponsor, even if the number of referrals exceeds this value.
Additionally, a contest is associated with this sponsorship program: the 10 Users who have sponsored the most validated referrals by the end of the operation will each receive a limited edition "white and gold" of the 10-Chairs camera-robot (see the Contest Regulations for full details on the modalities, eligibility, and prizes).
Participation in the sponsorship and the contest is free and without any purchase obligation. It is not necessary to have made the intention deposit to be a sponsor or to participate in the contest.
The User agrees to adopt fair behavior in the sponsorship: any attempt at fraud (creation of fake accounts, identity theft, massive spamming of invitations, etc.) will lead to immediate disqualification of the offending participant, even the deletion of their registration. The Company reserves the right to verify the validity of referrals and request any necessary proof (e.g., email address confirmation) to prevent abuse.
Each User agrees to use the Site and services in accordance with these Terms of Use and applicable laws and regulations. In particular, the User agrees to: - Provide accurate information during registration or any communication with the Company, and to update it in case of changes. - Use the Site reasonably and not disrupt its operation. It is forbidden to introduce viruses, hacking attempts, denial of service attacks, or any malicious action targeting the Site and its Users. - Respect third party rights: refrain from any defamatory, insulting, or immoral statements in potential communications (for example, if there is a possibility to leave a comment or message, or when sharing the sponsorship link on external platforms). - Not to divert the purposes of the Site: the User must not use the Site or the information it contains for purposes other than those intended (for example, unauthorized commercial exploitation of content, massive data scraping, etc.). - Respect the specific rules of other legal documents of the Site when applicable: Terms and Conditions of Sale for the intention deposit, Contest Regulations for sponsorship, Privacy Policy for personal data.
In case of breach of these obligations, the Company reserves the right to take any appropriate measures, including suspending or blocking the User's access to the Site, deleting their registration from the waiting list, or even legal actions if necessary.
The trademark 10-Chairs, the presented products (concepts, design, images of the camera robots), the domain name of the Site, as well as all content and graphic or textual elements present on the Site (logos, illustrations, photographs, videos, texts, graphic charter, etc.) are the exclusive property of the Company or its partners and are protected by intellectual property law.
Any reproduction, representation, or dissemination, in whole or in part, of the Site's content, without the prior written permission of the Company, is prohibited[4]. The User does not acquire any intellectual property rights as a result of using the Site. A non-exclusive license for use of the Site is granted solely for the purpose of benefiting from the services offered there, for strictly private and non-commercial use.
Any contributions from the User (for example, if the User provides suggestions for improvement, ideas, or feedback through a contact form or other means) may be used freely by the Company, which will be the sole owner of any improvements or ideas thus generated, without any compensation for the User, unless otherwise mandated by imperative legal provisions.
As part of using the Site's services, the Company may collect and process certain personal data of the User (for example: email address, information provided via registration or contact forms, navigation data, etc.). The detailed terms of processing this data and the User's rights in this regard are described in the Privacy Policy of the Site.
The User is invited to consult this Privacy Policy to understand how and why their data is processed, as well as how cookies may be used on the Site (necessary cookies for the functioning of the sponsorship program, analytical cookies, etc.). By using the Site, the User consents to these processes in accordance with applicable regulations (GDPR and "Data Protection Act").
The Company makes every effort to ensure the accuracy of the information presented on the Site and the quality of the services offered. However, the information about the project (including, but not limited to, the description of 10-Chairs products, announced features, indicative availability or launch dates, etc.) is provided for informational purposes and is not contractual. The Company does not guarantee absolute accuracy or completeness of this information. It may be subject to change, notably due to the innovative nature of the project and the uncertainties of the development phase.
The Company cannot be held responsible for direct or indirect damages resulting from the use or inability to use the Site, including in the event of: - Malfunctions, bugs, or interruptions of the Site; - Loss of data or opportunities related to using the Site; - The presence of viruses or harmful elements on the Site introduced by a third party maliciously; - Fraudulent use by a third party of the information presented on the Site.
In particular, regarding the sponsorship contest and the credit system, the Company cannot be held liable if, for reasons beyond its control or in cases of force majeure, the contest should be modified, postponed, or canceled. Likewise, the Company provides no guarantee regarding the actual release date of 10-Chairs products or the fulfillment of reward promises (limited editions will be awarded only if the products are indeed manufactured and available).
The liability of the Company, should it be engaged despite the above provisions, is limited in any case to the sum of €20 per User for any damages, which corresponds to the maximum amount of the intention deposit paid on the Site. This limitation does not apply in cases of gross or intentional fault by the Company, nor in cases of harm to life, health, or physical integrity of a person.
11. Hyperlinks and External Content
The Site may contain hyperlinks to third-party websites, notably for the payment process of the intention deposit (e.g., link to PayPal) or for collecting information (e.g., Typeform forms), or share buttons on social networks in the context of sponsorship.
The presence of these links does not imply that the Company approves the content of these external sites. The Company has no control over the content or privacy practices of these third-party sites and cannot be held liable for their services, contents, advertisements, cookies, or other elements. The User is advised to consult the terms of use and privacy policies of these third-party sites before using them.
Any hyperlink pointing to the Site set up by a third party must be authorized in writing by the Company beforehand. The Company reserves the right to request the removal of a link to the Site that has not been authorized or that may harm its image.
12. Modification of the Terms of Use
The Company reserves the right to modify these Terms of Use at any time to adapt them to changes in the Site and its services, or to legal and regulatory developments.
In the event of a substantial modification of the Terms of Use, the new version will be published on the Site with a clearly indicated update date. It is the User's responsibility to regularly consult the Terms of Use. Using the Site after the update date will imply acceptance of the modified Terms of Use.
If the User does not accept the new provisions of the Terms of Use, they must stop using the Site and may request the deletion of their personal data in accordance with the procedure provided in the Privacy Policy.
13. Applicable Law and Dispute Resolution
The present Terms of Use are governed by French law. They are written in French. In the event that they are translated into other languages, the French version will prevail in case of any interpretative discrepancies.
For any questions regarding the application of these Terms of Use, or any dispute related to the use of the Site, the User is invited to contact the Company at the address contact@10-chairs.com to seek an amicable solution.
Failing an amicable agreement, and subject to applicable mandatory protective legal provisions (notably for consumers residing outside France), any dispute will be the exclusive jurisdiction of the territorially competent French courts.
